This Terms of Service Agreement constitutes a legally binding contract between you, the user or client (“you,” “your,” or “Client”), and GoThinkLess, LLC, a Missouri limited liability company (“GoThinkLess,” “ThinkLess,” “we,” “our,” or “us”). By accessing or using our website, www.gothinkless.com, or any services, materials, or digital products provided by GoThinkLess (collectively, the “Services”), you acknowledge that you have read, understood, and agreed to be bound by the terms set forth herein. If you do not agree with these terms, you must not access or use our website or services.

GoThinkLess provides automation consulting, workflow design, and artificial intelligence implementation services for small and mid-sized businesses. By using our website or engaging our Services, you represent that you are at least eighteen years old, have the authority to enter into this Agreement, and will use the Services only for lawful business purposes. Any proposal, agreement, or statement of work entered into between you and GoThinkLess shall govern the specific scope, deliverables, and pricing of each engagement. In the event of a conflict between this Agreement and a separate written contract signed by both parties, the signed contract shall prevail as to the conflicting terms.

All intellectual property created by or on behalf of GoThinkLess, including but not limited to automations, workflows, processes, documentation, and system architecture, remains the exclusive property of GoThinkLess unless otherwise stated in writing. You are granted a limited, non-exclusive, non-transferable license to use deliverables solely for your internal business purposes. You may not copy, resell, reproduce, or distribute any materials or intellectual property belonging to GoThinkLess without express written permission. All rights not expressly granted are reserved.

Both parties agree to maintain strict confidentiality regarding all proprietary or sensitive information exchanged during the course of engagement. Confidential information includes but is not limited to trade secrets, client data, business processes, pricing, and technology infrastructure. Neither party shall disclose or use such information for any purpose other than the performance of this Agreement, and these obligations shall survive termination of the relationship.

Unless otherwise agreed upon in a separate contract, all fees are due and payable according to the terms presented at the time of purchase or invoicing. Payment must be made in full within the timeframe specified. Late or missed payments may incur interest at one and one-half percent (1.5%) per month, or the maximum rate permitted by law, until paid in full. GoThinkLess reserves the right to suspend or terminate Services for any Client whose account is past due. All fees and payments are non-refundable except where explicitly stated in writing.

The Services, including all automations, digital tools, and consulting deliverables, are provided on an “as is” and “as available” basis. GoThinkLess makes no representations or warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that any automation or system will operate without error or interruption, nor that it will achieve any specific business result. You acknowledge that our Services may integrate with or rely on third-party platforms and APIs, and that GoThinkLess has no control over the reliability or functionality of such third-party tools.

To the fullest extent permitted by law, GoThinkLess, its owners, employees, agents, and contractors shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including without limitation any loss of revenue, profits, business opportunities, or data, arising out of or in connection with your use of the Services, whether based on contract, tort, or any other legal theory, even if GoThinkLess has been advised of the possibility of such damages. In no event shall GoThinkLess’s total liability exceed the total amount paid by you to GoThinkLess for the Services giving rise to the claim during the twelve months preceding the event.

You agree to indemnify, defend, and hold harmless GoThinkLess, LLC, its affiliates, officers, employees, contractors, and representatives from and against any claims, damages, liabilities, losses, and expenses, including reasonable attorneys’ fees, arising out of or related to your use of the Services, your violation of these Terms, or your infringement of any third-party rights.

GoThinkLess may terminate or suspend your access to the website or Services at any time, with or without cause, including for non-payment or violation of these Terms. Upon termination, you must immediately cease using all deliverables and materials obtained from GoThinkLess. The sections concerning intellectual property, confidentiality, payment, limitation of liability, indemnification, and governing law shall survive termination.

Our Services may reference or integrate third-party software, APIs, or platforms such as Zapier, OpenAI, Airtable, or Google Workspace. You understand that such platforms are independent from GoThinkLess, that their performance and data handling practices are outside of our control, and that your use of those services is governed by their respective terms and privacy policies. GoThinkLess assumes no responsibility or liability for the actions or omissions of such third parties.

This Agreement shall be governed by and construed in accordance with the laws of the State of Missouri, without regard to its conflict of law provisions. Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Jackson County, Missouri. Both parties consent to the personal jurisdiction and venue of such courts and waive any objection thereto.

GoThinkLess reserves the right to update or modify these Terms at any time without prior notice. Any changes will be effective upon posting to our website. Your continued use of the website or Services after such posting constitutes your acceptance of the revised Terms. You are encouraged to review this Agreement periodically to stay informed of any updates.

These Terms constitute the entire agreement between you and GoThinkLess regarding your access to and use of our website and Services and supersede all prior or contemporaneous understandings, agreements, or communications, whether written or oral. If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. No waiver of any term or condition shall be deemed a further or continuing waiver of such term or condition or any other term.
